Risk Disclosure
This page supplements our Terms and Conditions and Privacy Policy with disclosures specific to TOGGLD's on-chain, non-custodial design. Read all three before connecting a wallet or placing a bid. If any part of this page conflicts with the Terms and Conditions, the Terms and Conditions govern.
1. Eligibility and your responsibility
By using TOGGLD you represent that: you are of legal age to enter a binding agreement and to participate in an online game or equivalent activity under the law of your place of residence; you are not accessing the Service from, and are not a resident of, a jurisdiction where doing so would be unlawful; and you are not a person or entity subject to sanctions, embargoes, or other trade restrictions administered by the United Nations, the European Union, the United States (OFAC), or any other authority with jurisdiction over you or over us. TOGGLD does not currently perform geographic (IP-based or otherwise) verification of users. The absence of such a check is not a representation that your use of the Service is lawful where you are. That determination is entirely your own responsibility, not ours. We reserve the right to add geographic restrictions, age or identity verification, or other access controls at any time, without notice, and to restrict or terminate access where we or our advisors later determine it necessary.
2. What TOGGLD is, and is not
TOGGLD is a game built around a single on-chain toggle with one holder at a time. Anyone may open a time-limited bidding window to challenge the current holder; the winner either becomes the new holder or, if already the holder, keeps that position. Nothing on this site, in our Terms, or in any communication from us constitutes investment, financial, legal, or tax advice, and nothing should be read as an offer, solicitation, or recommendation to buy, sell, or hold any asset, including $TOGGLD. We do not promise, represent, or imply that participating will result in any financial gain, that any token will hold or gain value, or any particular economic outcome. Winning a challenge does not entitle you to any monetary prize, payout, or return. The winning payment is split 15% to a fixed treasury address and 85% burned; nothing is paid to the winner beyond the toggle-holder position itself.
3. Blockchain and smart contract risks
- Irreversibility. Transactions on the Solana blockchain, once confirmed, cannot be reversed, cancelled, or refunded by us or by anyone else. If you sign a transaction in error, we cannot undo it.
- Network and transaction fees. Every transaction requires payment of Solana network fees ("gas"), independent of and in addition to any amount you bid. Fees are set by the Solana network, not by us, and are non-refundable regardless of transaction outcome.
- Non-custodial. We never take custody of your funds, private keys, or seed phrase. Every transaction, including bidding and claiming a refund, is signed and submitted by you, directly, from your own wallet. We cannot initiate, reverse, or recover a transaction on your behalf, and cannot assist in recovering lost keys or funds sent to the wrong address.
- Refunds are pull-based, not automatic. If you're outbid, your funds sit in a program-owned account until you claim them yourself by submitting a
claim_refund()transaction. We do not push refunds to you, and cannot claim or redirect one on your behalf. Unclaimed refunds remain claimable by you; they are not forfeited, but nor do we monitor or remind you to claim them. - Smart contract risk. The program is software and, despite testing, may contain bugs, vulnerabilities, or unforeseen behavior. It is currently upgradeable by a designated authority and has not been permanently locked. A future step in this project's plan calls for eventually and irrevocably renouncing that upgrade authority, but as of today that has not occurred, meaning the deployed code could, in principle, still be changed.
- Role concentration. A single wallet currently holds the treasury, admin, and program-upgrade-authority roles. This is disclosed, not hidden, but it means one party currently holds more privileged access than a fully decentralized system would.
4. Token risks
- Volatility and total loss. $TOGGLD, and any other token you may acquire in connection with the Service, may be extremely volatile, illiquid, or lose all value. We make no representation as to its present or future value, tradability, or liquidity.
- Third-party issuance. $TOGGLD is issued and traded through a third-party bonding-curve protocol (Meteora), which we do not control, build, or operate. We do not sell $TOGGLD directly to users. Bugs, exploits, or failures in that third-party protocol are outside our control and our responsibility.
- No redemption or buy-back promise. We do not promise to buy back, redeem, or otherwise guarantee any value for $TOGGLD. The buy-and-burn mechanism reduces circulating supply using a portion of settlement proceeds; it is not a payment, dividend, or return to any bidder, holder, or token owner.
5. Operational risks
- No guarantee of uptime. Our website, indexer, and automated "keeper" service may be unavailable, delayed, or discontinued at any time. The underlying program's availability depends on the Solana network's own uptime and performance, which we do not control.
- Wallet and device security is your responsibility. We strongly recommend using a hardware wallet or another robust key-management practice, never sharing your seed phrase with anyone (including anyone claiming to represent us), and independently verifying any site or link claiming to be TOGGLD before connecting a wallet to it. We will never ask for your seed phrase or private key.
6. Regulatory and tax risk
The legal and regulatory treatment of blockchain-based games and tokens is unsettled and varies by jurisdiction, and may change at any time, including in ways that restrict or prohibit your continued use of the Service. Any tax consequences of your use of the Service, including from bidding, refunds, or acquiring or disposing of any token, are solely your responsibility. We do not provide tax advice, and nothing here should be relied on for tax reporting purposes.
7. Acknowledgement
By connecting a wallet or otherwise using the Service, you acknowledge that you have read and understood this Risk Disclosure, and that you accept these risks entirely at your own discretion. If you do not understand or do not accept these risks, do not use the Service.
